These Terms of Service ("Terms") govern your use of the Stawi Biz mobile application, web platform, WhatsApp integration, SMS services, and related services (collectively, the "Service") operated by Mdoe-Tech ("we," "our," or "us"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Acceptance of Terms

By creating an account or using our Service, you confirm that:

• You are at least 18 years of age
• You have the legal capacity to enter into binding contracts
• You are using the Service for legitimate business purposes
• You have read and understood our Privacy Policy
• You agree to comply with all applicable laws and regulations

2. Description of Service

Stawi Biz provides:

• Inventory Management: Track products, stock levels, and suppliers
• Sales Recording: Record and manage sales transactions
• Financial Reporting: Generate business reports and analytics
• Customer Management: Manage customer information and credit
• Multi-Channel Access: Use via Web Dashboard, SMS, or WhatsApp
• AI-Powered Insights: Business intelligence and recommendations
• Multi-Shop Support: Manage multiple business locations

3.1 Account Creation

• You must provide accurate, complete, and current information
• One account per phone number is allowed
• Business owners can create sub-accounts for employees
• You are responsible for all activities under your account

3.2 Account Security

• Keep your login credentials confidential
• Notify us immediately of any unauthorized access
• We are not liable for losses due to compromised credentials
• Enable two-factor authentication when available

4.1 Free Trial

• New users receive a 30-day free trial with full features
• No payment information required during trial
• Trial converts to free tier if no subscription is purchased

4.2 Subscription Plans

• Subscription fees are billed monthly or annually
• Prices are in Tanzanian Shillings (TSh) unless stated otherwise
• We reserve the right to change pricing with 30 days notice

4.3 Payment Methods

• M-Pesa, Tigo Pesa, Airtel Money, and other mobile money services
• Bank transfer for enterprise customers
• Payments are non-refundable unless otherwise stated

4.4 Cancellation

• You may cancel your subscription at any time
• Access continues until the end of your billing period
• No refunds for partial months
• Your data will be retained for 30 days after cancellation

You agree to use our Service only for lawful purposes. You shall NOT:

• Use the Service for illegal activities or to facilitate illegal transactions
• Attempt to gain unauthorized access to our systems or other users' accounts
• Upload malware, viruses, or malicious code
• Spam, harass, or send unsolicited messages through our platform
• Reverse engineer, decompile, or attempt to extract source code
• Use the Service to store or transmit infringing, obscene, or harmful content
• Impersonate another person or entity
• Exceed reasonable usage limits (automated bulk requests, etc.)
• Resell or redistribute access to the Service without authorization
• Use the Service in ways that could harm our reputation or other users

The following types of businesses are NOT permitted to use our Service:

• Illegal drug trafficking or controlled substances
• Weapons, ammunition, or explosives sales
• Gambling or betting operations
• Adult content or services
• Counterfeit goods or intellectual property infringement
• Pyramid schemes or fraudulent businesses
• Money laundering or financial fraud
• Any business prohibited by Tanzanian law

7. Data Ownership & Intellectual Property

7.1 Your Data

• You retain ownership of all business data you input into the Service
• You grant us a license to use your data to provide and improve the Service
• You can export your data at any time
• We do not claim ownership of your business information

7.2 Our Intellectual Property

• The Service, including software, design, and content, is owned by Mdoe-Tech
• Our trademarks, logos, and branding may not be used without permission
• You may not copy, modify, or distribute our proprietary technology

8.1 Availability

• We strive for 99.9% uptime but do not guarantee uninterrupted service
• Scheduled maintenance will be announced in advance when possible
• We are not liable for outages beyond our control (internet issues, power outages, etc.)

8.2 Modifications

• We may modify, update, or discontinue features at any time
• Significant changes will be communicated to users
• Continued use after changes constitutes acceptance

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

9.3 Business Decisions

The Service provides tools and insights to assist your business decisions. We are not responsible for any business outcomes based on information provided by the Service. You are solely responsible for your business decisions.

10. Indemnification

You agree to indemnify, defend, and hold harmless Mdoe-Tech, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your business activities conducted through the Service

11. Termination

11.1 By You

You may terminate your account at any time by contacting us or using the account deletion feature.

11.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activities
• Fail to pay subscription fees
• Abuse or misuse the Service

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may retain your data as required by law or for legitimate business purposes.

12. Dispute Resolution

12.1 Informal Resolution

Before filing any legal claim, you agree to contact us and attempt to resolve the dispute informally within 30 days.

12.2 Governing Law

These Terms are governed by the laws of the United Republic of Tanzania, without regard to conflict of law principles.

12.3 Jurisdiction

Any disputes shall be resolved in the courts of Dar es Salaam, Tanzania. You consent to the exclusive jurisdiction of these courts.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email, SMS, WhatsApp, or prominent notice on our platform at least 30 days before taking effect. Your continued use of the Service after changes constitutes acceptance of the new Terms.

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not assign your rights under these Terms. We may assign our rights to a successor.
• Force Majeure: We are not liable for failures due to circumstances beyond our control.
